These Terms of Service ("Terms") govern your access to and use of the Lighthouse home-care management platform, including the web application and iOS mobile application (collectively, the "Services") provided by LH AI LLC ("LH AI LLC," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
"Agency" means the home-care organization that contracts with LH AI LLC and provisions your access to the Services.
"Client Information" means personally identifiable information about a patient or client, including PHI.
"Confidential Information" means non-public information regarding LH AI LLC, the Services, or an Agency, including trade secrets, platform documentation, screen layouts, workflows, technical specifications, and business information, whether disclosed orally or in writing.
"PHI" means Protected Health Information as defined under HIPAA.
"User Data" means data you or your Agency submit to or generate through the Services.
The Services are available only to users who are at least 18 years of age, can form legally binding contracts under applicable law, and are authorized by a contracting Agency. Access is provisioned by the Agency or by LH AI LLC at the Agency's direction.
You must provide accurate account information, keep your credentials confidential, comply with multi-factor authentication requirements, and not allow any other person to use your account. You are the sole authorized user of your account credentials and may not transfer or sell your account, password, or identification to any other party.
You are responsible for all activity that occurs under your account. Agencies may grant, modify, suspend, or revoke access at any time. LH AI LLC may suspend or terminate access for violation of these Terms, security concerns, or as directed by the contracting Agency.
If you suspect unauthorized use of your account or any other security breach, you must notify LH AI LLC and your Agency immediately.
You may use the Services only for legitimate home-care business purposes and only to access information you are authorized to view under your role and the policies of your Agency.
Activity within the Services is monitored, logged, and auditable. Unauthorized access, attempts to bypass access controls, scraping or automated access without permission, or use of the Services to view records you are not authorized to access is strictly prohibited and may result in immediate termination and reporting to your Agency or law enforcement.
You represent and warrant that you possess all licenses, approvals, and authority required to perform your role and use the Services in the jurisdictions in which you operate.
The Services process PHI subject to HIPAA and applicable state privacy laws. Your use of PHI through the Services must comply with HIPAA, your Agency's policies, and all applicable law.
The relationship between LH AI LLC and the contracting Agency regarding PHI is governed by a Business Associate Agreement ("BAA"). To the extent that the provisions of the BAA regarding Client Information conflict with the provisions of these Terms, the BAA controls.
You may disclose Client Information only to authorized individuals and only as permitted by HIPAA and applicable law. You may not export, disclose, or use PHI except as authorized by your role, your Agency, and applicable law.
LH AI LLC has designed the Services to support HIPAA-compliant use, but use of the Services does not guarantee that your Agency or you are in compliance with HIPAA or any other law. Your Agency is solely responsible for its use of the Services in compliance with HIPAA and all applicable federal, state, and local laws.
You acknowledge that the Services, including documentation, screen formats, workflows, and reports, contain Confidential Information of LH AI LLC. You shall not publish, disclose, display, or provide access to the Services or any Confidential Information to any person or entity except as authorized by your role and Agency policies, or as required by law.
You shall use reasonable care to maintain the security and confidentiality of the Services and Confidential Information, using precautions no less stringent than those you use to protect your own sensitive information.
Feedback, suggestions, or ideas you submit to LH AI LLC regarding the Services may be used by LH AI LLC without restriction or compensation to you.
The Lighthouse iOS application may request access to your device's location services to verify that you are at an authorized service location before clock-in and clock-out (EVV), including location checks while the app is in use, and to record location at the time of clock-in and clock-out. The app may send remote push notifications and schedule local notifications related to your assigned schedule (such as clock-in reminders), your schedule, and your account. Use of these features is described in our Privacy Policy.
Through the mobile application, you may enter clinical and operational documentation related to assigned visits. You are responsible for the accuracy and timeliness of all records you submit through the mobile application.
The app may request access to your device camera or photo library when you submit certain requests that allow image attachments. Images you capture may be processed to assist with data entry before submission.
If you enable biometric authentication (Face ID or Touch ID), biometric data is processed locally on your device by Apple's operating system; LH AI LLC does not receive or store your biometric data.
Location data provided through the Services is for visit verification and operational purposes only. It is not intended to be relied upon in situations where precise location information is critical to safety. LH AI LLC does not guarantee the availability, accuracy, completeness, or timeliness of location data.
You are responsible for any data usage charges or fees associated with your mobile device or network when using the mobile application.
LH AI LLC will use commercially reasonable efforts to make the Services available. You acknowledge that the Services may be inaccessible or inoperable from time to time due to equipment malfunctions, periodic maintenance, telecommunications failures, security incidents, or events beyond our reasonable control (collectively, "Downtime"). LH AI LLC will use commercially reasonable efforts to provide advance notice of scheduled maintenance when practicable.
LH AI LLC is not liable for Downtime and does not guarantee uninterrupted or error-free operation of the Services.
Documents, records, and other outputs generated through the Services are based on information furnished by you, your Agency, or other authorized users. LH AI LLC assumes no responsibility or liability for the correctness, completeness, or timeliness of User Data you or your Agency submit.
You are solely responsible for interactions with other users of the Services. LH AI LLC is not responsible for the conduct of other users, whether online or offline, or for personal information you choose to disclose to other users through the Services.
You agree not to:
Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services, except to the extent such restriction is prohibited by law
Interfere with or disrupt the integrity or performance of the Services
Upload viruses, malware, or other harmful code
Use the Services to violate any applicable law or regulation or any third party's rights
Misrepresent your identity or affiliation
Use the Services to send unsolicited communications
Access the Services through unauthorized automated means
Use Confidential Information obtained from the Services for your own benefit or for any unauthorized third party
Impersonate any person or entity
The Services, including all software, user interface designs, documentation, and content provided by LH AI LLC (excluding Agency and patient data), are owned by LH AI LLC and its licensors and are protected by intellectual property laws. Subject to these Terms and your Agency's agreement with LH AI LLC, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for authorized purposes.
Data entered into the Services by or on behalf of the contracting Agency remains subject to that Agency's ownership and control. You grant LH AI LLC the rights necessary to host, process, transmit, and display such data solely to provide and improve the Services as permitted by applicable agreements and law.
The Services may integrate with third-party providers to deliver certain functionality. Your use of those integrations may be subject to those providers' terms and privacy policies. LH AI LLC is not responsible for third-party services outside our reasonable control.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LH AI LLC does not warrant that the Services will be uninterrupted, error-free, secure, or that data will be accurate, complete, reliable, or current.
The Services are tools to support care delivery, scheduling, documentation, and related operations. They do not provide medical advice. Clinical judgment and care decisions remain the responsibility of licensed professionals and the contracting Agency. AI-generated outputs may be incomplete or incorrect and must be reviewed by qualified personnel before reliance.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LH AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF LH AI LLC FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS PAID BY THE CONTRACTING AGENCY TO LH AI LLC FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
LH AI LLC SHALL NOT BE LIABLE FOR ANY CLAIMS BY THIRD PARTIES AGAINST YOU ARISING FROM YOUR USE OF THE SERVICES.
No action arising from or pertaining to the Services may be brought more than one (1) year after the cause of action accrues.
Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, the above limitations apply to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless LH AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your violation of these Terms
Your misuse of the Services or User Data
Your violation of applicable law or third-party rights
Your breach of HIPAA, the BAA, or your Agency's policies regarding PHI or Client Information
except to the extent caused by LH AI LLC's gross negligence or willful misconduct.
These Terms remain in effect while you have access to the Services. We or the contracting Agency may suspend or terminate your access at any time, with or without notice, for any reason permitted by applicable agreement or law. Upon termination, your right to use the Services ceases immediately.
Data access, export, and retention after termination are governed by the agreement between LH AI LLC and your Agency and applicable law.
Sections that by their nature should survive termination (including Sections 5, 6, 11, 13, 14, 15, 17, and 18) will survive.
Except for payment obligations owed by your Agency under its separate agreement with LH AI LLC, neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, telecommunications failures, or hostile network attacks.
If you downloaded the Lighthouse iOS application from the Apple App Store, you acknowledge and agree that:
These Terms are between you and LH AI LLC, not Apple Inc. ("Apple")
Apple has no obligation to furnish any maintenance or support services for the application
Apple is not responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under Section 13
Apple is not responsible for addressing any claims relating to the application or your possession or use of the application, including product liability claims, failure to conform to legal or regulatory requirements, or consumer protection claims
In the event of any third-party claim that the application infringes a third party's intellectual property rights, LH AI LLC (not Apple) is solely responsible for investigation, defense, settlement, and discharge of such claim to the extent required by these Terms
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a third-party beneficiary
Your use of the application must comply with the Apple Media Services Terms and the App Store Usage Rules
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Orlando, Florida, and you consent to personal jurisdiction in those courts.
Entire agreement. These Terms, together with applicable Agency agreements, the Privacy Policy, and any Business Associate Agreement between LH AI LLC and your Agency, constitute the entire agreement between you and LH AI LLC regarding the Services. In the event of conflict regarding PHI or Client Information, the BAA controls.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Waiver. Failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our prior written consent. LH AI LLC may assign these Terms in connection with a merger, acquisition, or sale of assets.
Changes. We may modify these Terms from time to time. Material changes will be posted on our website with an updated "Last updated" date at least thirty (30) days before they take effect when practicable. Continued use after changes become effective constitutes acceptance, except where further consent is required.
Equitable relief. You acknowledge that unauthorized disclosure or use of the Services or Confidential Information may cause irreparable harm to LH AI LLC. LH AI LLC may seek injunctive or equitable relief in addition to any other remedies available at law.
